As your merchant banking advisor, Restoration Partners will assist the Company by providing strategic counsel which will include the formulation and maintenance of your strategic framework and the execution of specific tasks in support of the agreed strategy.

The Strategic Framework is a clearly articulated plan that will, if followed, deliver the optimum outcome measured in time and value.  Using our proprietary methodologies we will help you to build an aggressive plan, with an acceptable fall-back route.  This approach defines the exit-oriented tasks to be carried out over a defined length of time.

Restoration Partners can also assist with mergers and acquisitions activity and strategy, as well as leading fund raising efforts and structuring deals for companies we choose to support.

If the company enters in to a long term relationship with Restoration Partners, they will benefit from ongoing support and strategic assistance in all aspects of the company’s journey towards achieving their value. The specific execution support by Restoration Partners will, of course, depend on the strategic outputs agreed in the Strategy Formulation.  Relevant elements of our advisory support include:

· Counselling the executive team on operational execution;

· Analysis of the potential technology initiatives currently in hand to determine which ones are best suited to achieving the strategic goal defined in the formulation phase.

· Company Valuation and Cap Table review

· Identifying potential acquisition targets;

· Deal Structuring - success managing variables – price, consideration, payment timing and warranties – that can make a material difference to a deal’s value

· Deal Project Management

· Developing an appropriate value range in connection with any transaction(s)

· Reviewing, evaluating and structuring any proposed transactions

· Assessing the relative merits of the relevant public markets

· Preparing a summary Information Memorandum, if required, for distribution to potential investors, lenders and/or merger and acquisition candidates selected by Restoration Partners and the Company, describing the Company and its business;

· Obtaining private equity and/or debt to capitalize the Company in such amount and upon such terms as deemed to be appropriate by the Company and Restoration Partners;

· Generating and executing an Exit strategy
