Fees and Expenses

Restoration Partners

Restoration Partners’ reward philosophy is founded on a simple premise:

We best serve the interests of our clients if our own interests are aligned with theirs.

Our clients need results, and therefore we believe that our rewards should be based on the value added by our work – and that it should be calculated in the simplest way possible. Our fee structure is therefore heavily skewed towards material and quantifiable commercial success. Payments for our services generally fall under two headings: Advisory Retainer and Transaction Fees.

Advisory Retainer

In consideration for Restoration Partners providing ongoing strategic advice and support services, clients will pay a monthly Advisory Retainer.

Transaction Fees

The key measure of Restoration Partner’s value will generally be one or a combination of the following:

· Identifying acquisition targets
· Supporting consummation of merger transactions
· Helping to raise new capital (including the option of an IPO)

Therefore, in recognition of Restoration Partners support for these activities, clients will pay Restoration Partners a Transaction Fee, calculated as a percentage of the value of each Relevant Transaction. Subject to mutual consent between the Company and Restoration Partners, a percentage of each Transaction Fee may be paid in ordinary shares of the company rather than in cash.
